Terms of service (public offer)
These terms are the contract between your business and the seller of Loyever. They are written in plain words and cover what the service is, how you pay for it and what each of us is responsible for.
Who we are
Loyever is a service for loyalty cards that live in Apple Wallet and Google Wallet. It is provided and sold by a sole proprietor registered in Azerbaijan.

LATIFZADA LTD, the UK company named at the foot of this site, publishes the English-language site and runs the global waitlist. It does not sell the Loyever service in Azerbaijan and is not a party to these terms.
You can write to us at any time at hello@loyever.com. In these terms, “we” and “us” mean the seller above, and “you” means the business using Loyever.
What this offer is and how you accept it
This page is a public offer. It is addressed to any business that wants to use Loyever, and it becomes a contract as soon as you accept it.
You accept it by creating a Loyever account, and again each time you pay for a period. From that moment these terms apply to you. If you do not accept them, please do not create an account and do not pay.
They apply together with our privacy notice,
the payment, cancellation and refund policy,
the cookie notice,
and the data processing agreement, which covers your members’ personal data and which you also accept in the dashboard.
The service, and what it is not
With Loyever you set up one or more loyalty cards for your business, your customers add a card to Apple Wallet or Google Wallet from your join page, and your staff add stamps, visits or points at the till from a browser on a phone, tablet or computer.
Depending on your plan, you can also send push messages and automatic reminders to card holders, see statistics, and use our API and webhooks to connect Loyever to another system.

Loyever is not a payment system, an accounting system or a cash register. It never takes money from your customers and never issues tax documents for your sales.
Apple Wallet belongs to Apple Inc. and Google Wallet belongs to Google LLC. Passes are delivered and updated through their systems and under their own terms. We cannot promise that those systems are available, and we are not responsible for changes they make to them.
We keep developing Loyever. Features are added, improved and sometimes replaced.
Your account
An account is opened for a business. By opening one you confirm that you are at least 18 years old and that you may act for that business.
The person who opens the account is its owner. The owner decides who else may use it, and can invite staff and pair till devices.
Keep your password, your staff codes, your API keys and your webhook secrets to yourself. Anything done with them counts as done by you.
If you think someone else has got into your account, change the password and tell us at once at hello@loyever.com.
Give us a working email address and keep it current: it is how we send receipts, billing notices and anything else you need to know.
The free trial
Every new account starts with a free trial of 14 days, unless the pricing page says otherwise. No card is needed to start it, and nothing is charged when it ends.
To keep going after the trial, choose a plan and pay for a period. If you do not, your account follows the rule below for a period that ends unpaid.
Plans, prices and the price lock
The plans, their limits and their prices are published on the pricing page. Prices there are the ones that apply; we do not repeat them here, so that this page can never disagree with them.
You choose a monthly or a yearly period and pay for it in advance. Prices are in Azerbaijani manats (AZN).
A price you bought at stays with you: when you renew the same plan for the same length of period, you pay the price of the version you bought under, even if our published price has changed since. Moving to another plan or another length of period means the current published price applies from then on.
How you pay
You pay for each period yourself, in the dashboard, under Plan and billing. Nothing is ever charged automatically: we hold nothing to charge, and no period renews by itself.
Payment is by bank card on the secure page of Kapital Bank ASC. Your card details are entered on the bank’s own page, confirmed by your bank (3-D Secure), and never reach Loyever: we do not see them and do not store them.
The seller is not registered for ƏDV (VAT), so no ƏDV is added to the prices.
When the bank confirms a payment, we issue a receipt with a number in the form LV-2026-000123. You can open it under Plan and billing, and we email it to you as well. It is a confirmation that you paid, not an ƏDV (VAT) invoice: the seller does not issue those.

When a period ends
A paid period runs to its last day. If you pay early, the new period starts when the current one ends, so no days are lost.
If a period ends without a payment, everything keeps working for a grace period of seven days, unless Plan and billing shows another date.
After the grace period the account is restricted. While it is restricted:
- you cannot add new loyalty cards or new locations;
- push messages and reminders are paused;
- the API refuses writes, and answers reads as usual.
Everything else keeps working: your existing cards, your members’ passes, adding stamps, visits and points at the till, and everything you can read in the dashboard. Nothing of yours is deleted because of a restriction, and paying lifts it at once.
Plan and billing always shows the exact dates for your account.
Refunds, in short
A paid period is not refunded part-way through simply because you stop using it. We refund a first paid period in full if you ask within 14 days of paying and the service did not work for your business, and we always return a payment made twice or by mistake.

How the service may be used
Use Loyever for your own loyalty programme, lawfully, and in a way that does not harm your customers, other businesses or the service itself.
You decide what your cards say and what you send to card holders. You are responsible for having the right to contact them and for keeping your messages lawful, honest and free of anything offensive. Do not use Loyever to send unsolicited advertising.
Logos, photos and texts you put on a card must be yours to use.
Do not try to break, overload or work around the service, and do not try to reach another business’s data. Automatic requests outside our API are not allowed.
If your plan includes the API and webhooks: keys and webhook secrets are yours to keep secret, requests made with your key count as yours, and the rate limits in the API documentation apply. Do not use the API to collect members in bulk for anything other than running your own programme.
We may suspend an API key, a webhook endpoint or an account that endangers the service, its data or other businesses. Unless the danger makes it impossible, we tell you first and say what needs to change.
Your data and your members’ data
Your business content and your members’ data are yours. We do not sell them and do not use them for our own advertising.
For your members’ personal data your business is the owner of the data and Loyever is the operator, acting on your instructions. That is set out in the data processing agreement, which forms part of these terms.
For your own account data — your name, your email address, your business details and your payment records — we are responsible. What we hold and why is in the privacy notice.
You can export your members from the dashboard at any time. You can also ask us to close your account and to export your data; we delete business data within 90 days of closure.
What belongs to whom
The Loyever software, its design and the Loyever name and mark are ours. While your account is open you may use the service as it is meant to be used; nothing else passes to you, and you may not copy, resell or rent it out.
Your logo, your photos, your texts and your card designs stay yours. You give us permission to show them where the service needs to show them — on your cards, your join page, your members’ passes and the messages you send — for as long as you use Loyever.
We name a business as a Loyever customer in public only with that business’s agreement.
Availability and support
We work to keep Loyever available and quick, but we do not promise a particular level of availability and we give no uptime guarantee.
Maintenance and updates can interrupt the service. When we can plan an interruption that you would notice, we choose a quiet time and tell you in advance.
We keep backups of the database for 14 days. Backups protect the service against failure; they are not an archive of your data for you.
Support is by email at hello@loyever.com. We answer as soon as we can, without a promised answering time.
Changes to the service and to these terms
The service changes as it develops. We will not take away a substantial part of what you are paying for without telling you first.
We may change these terms. If a change matters for you, we email the account owner at least 14 days before it takes effect, and the date at the top of this page changes. Using Loyever after that date means you accept the new version. If you do not, you can stop using the service and ask us to close the account.
A price change applies only to periods bought after it. It never applies inside a period you have already paid for.
Stopping, suspension and closing
You can stop whenever you like: simply do not pay for another period. You keep the service to the end of the period you have paid for. There is nothing to cancel and no notice to give.
To close the account altogether, ask us from the account’s email address at hello@loyever.com.
We may restrict an unpaid account as described above. We may suspend or end the contract if these terms are broken seriously, or repeatedly after we have asked you to put it right, or if the use made of the service is unlawful. Except where the law or the seriousness of the breach makes it impossible, we tell you first and give you a chance to fix it.
When the contract ends, your loyalty cards stop working, your members’ passes are voided, and we delete business data within 90 days. Export what you want to keep before then.
Responsibility and its limits
We provide the service with reasonable care and skill. We do not promise that it will be free of every fault or that it will fit a purpose we have not agreed with you.
You are responsible for how you run your loyalty programme: your offers and their conditions, your messages, and the consents behind them.
So far as the law allows, we are not liable for lost profit, lost custom, lost savings or other indirect loss, and our total liability for all claims connected with these terms is limited to the fees you paid us in the 12 months before the claim.
Nothing in these terms limits liability that cannot be limited under the law of the Republic of Azerbaijan, including liability for intentional harm.
Events outside our control
Neither of us answers for a failure caused by something outside reasonable control: war, natural events, fire, a failure of electricity or of the network, an act of a state authority, or a failure at Apple, Google, our hosting provider or the bank. We tell you when such a thing affects the service and do what we reasonably can to limit it.
The law that applies, and disputes
These terms are governed by the law of the Republic of Azerbaijan.
If something goes wrong, write to us first at hello@loyever.com. We answer and try in good faith to settle the matter by email within 30 days.
If that does not settle it, the dispute is for the courts of the city of Baku.
Language
These terms exist in Azerbaijani and in English. For customers in Azerbaijan the Azerbaijani text prevails; the English text is a translation, provided for convenience.
